Terms of Service
Effective date: October 14, 2026
These Terms of Service (the «Terms») are a legally binding agreement between you and Vigbo Development LLC, a Florida limited liability company («Vigbo», «we», «us» or «our»). They govern your access to and use of the Vigbo websites at vigbo.pro and its subdomains, the Vigbo client gallery, website and online store tools, mobile and web applications, and all related services that we provide (together, the «Services»).
By creating an account, clicking to accept these Terms, or using the Services, you agree to these Terms and confirm that you have read our Privacy Policy. If you use the Services on behalf of a business, you agree to these Terms on behalf of that business and confirm that you have authority to do so. If you do not agree, do not use the Services.
Please read Section 15 carefully: it requires disputes to be resolved individually in the courts of Broward County, Florida, and contains a waiver of class actions and jury trials, to the extent permitted by law.
1. Definitions
- «Account» means the account you create to use the Services.
- «Your Content» means photos, videos, text, designs, files and other materials that you upload, create or make available through the Services.
- «Clients» or «End Users» means the people you invite to or who visit your galleries, websites or online store, including your clients and their guests.
- «Plan» means the free or paid subscription plan you choose, with the features, storage limits and price shown when you sign up or change your Plan.
- «Additional Services» means services you can buy separately from a Plan, such as photo retouching, prints and photo products, or restoring deleted galleries.
2. Eligibility and your Account
You must be at least 18 years old and able to form a binding contract to use the Services. The Services are intended for photographers and other creative professionals and businesses; they are not directed to children.
You agree to provide accurate information when you register and to keep it up to date. You are responsible for keeping your password secure and for all activity under your Account. Tell us immediately at [email protected] if you suspect unauthorized access to your Account.
You may not use the Services if you are barred from receiving them under applicable law, including the sanctions and export laws described in Section 12.
3. The Services
The Services let you store, organize and deliver photos and videos to your Clients through online galleries, collect Client selections and downloads, build websites and sell products and services online, as described on our websites and in your Account. Some features are available only on certain Plans.
We continuously improve the Services and may add, change or remove features. If we remove a feature that is material to a paid Plan you are using, we will give you reasonable advance notice where practicable, and you may cancel your Plan as described in Section 4.
We aim to keep the Services available around the clock, but they may be interrupted for scheduled maintenance, updates, emergencies or reasons outside our reasonable control.
4. Plans, payment and automatic renewal
4.1. Free and paid Plans
We offer a free Plan with limited features and storage, and paid Plans billed monthly or annually. The features, storage limits, billing period and price of each Plan are shown before you subscribe. If we offer a free trial or a promotional price, its length and the price that applies after it ends are shown when you sign up.
4.2. Automatic renewal
Paid Plans renew automatically at the end of each billing period for the same period (one month or one year) at the then-current price of your Plan, and we will charge your payment method on file at the start of each new period, until you cancel. For annual Plans, we will send you a reminder by email before your Plan renews.
4.3. How to cancel
You can cancel at any time online in your Account settings, on the page of your Plan. Cancellation turns off automatic renewal: your paid Plan remains active until the end of the billing period you have already paid for, and it will not be renewed. You can also cancel by writing to [email protected] from the email address of your Account.
4.4. Refunds
Except where required by law or expressly stated otherwise at the time of purchase, payments are non-refundable and we do not provide refunds or credits for partial billing periods or unused features. If we terminate your paid Plan without cause, we will refund the unused part of your prepaid fees.
If you are a consumer in the European Union, the United Kingdom or another country that gives consumers a right to withdraw from online contracts, you may have the right to withdraw within 14 days of purchase. By asking us to start providing a paid Plan immediately, you acknowledge that if you withdraw, we may deduct an amount proportionate to the service already provided, where the law allows.
4.5. Price changes
We may change Plan prices. We will notify you by email at least 30 days before a new price applies to your Plan; the new price will apply from your next billing period. If you do not agree, you can cancel before the new price takes effect.
4.6. Payment details and taxes
Payments are processed by third-party payment processors, such as Stripe and PayPal, under their own terms. You authorize us and our payment processors to charge your payment method for all fees you incur. Prices are shown in the currency selected at checkout (for example, US dollars or euros) and do not include taxes unless stated otherwise; you are responsible for any applicable taxes, including sales tax and VAT. If a payment fails, we may retry the charge, suspend paid features or move your Account to the free Plan.
4.7. Additional Services
Additional Services are purchased separately. Their price, delivery terms and any specific conditions are shown before you buy them and form part of these Terms.
5. Your Content and the license you give us
You keep all rights in Your Content. We do not claim ownership of it.
To operate the Services, you grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, adapt (for example, to create previews and resized versions or to add watermarks you choose), display, distribute and transmit Your Content, solely to provide, secure and improve the Services for you and your Clients and as you direct through your settings. This license ends when Your Content is deleted from the Services, except for copies retained for a limited period in backups or as required by law.
We will not use Your Content to train generative artificial intelligence models, and we will not sell Your Content or show it in our marketing without your permission.
You confirm that you own or have all rights, licenses and permissions needed for Your Content and for us to use it as described in these Terms, including the consent of people who appear in your photos and videos where the law requires it.
You are responsible for keeping your own copies of Your Content. The Services are not a backup service, and storage periods you set for galleries and the limits of your Plan apply.
6. Your Clients, your sales and your legal obligations
You are solely responsible for your relationship with your Clients, including your contracts, prices, delivery of your services and any products you sell through the Services, and for complying with the laws that apply to your business.
When you collect personal information about your Clients through the Services, you are responsible for providing them with your own privacy notice and for having a lawful basis for that collection. We process that information on your behalf and according to your instructions, as described in our Privacy Policy.
If you sell prints or other photo products through the Services, the products are produced and shipped by our print and fulfillment partners. Product descriptions, prices, delivery terms and the procedure for reporting damaged or defective items are shown in the order process. Payments from your Clients are processed by third-party payment processors.
7. AI Face Search
Some Plans include an optional AI Face Search feature that helps your Clients find photos of specific people in a gallery. The feature is off by default and is used only if you turn it on for a gallery.
When the feature is on, we automatically detect faces in the photos of that gallery, create numerical representations of facial features (face templates) and small face images, and use them only to group photos of the same person within your Account and to let visitors of that gallery filter photos by person. We do not use face templates to identify people by name, to train AI models or for any other purpose, and we do not sell them.
Face data is kept only while the gallery exists and is deleted when the gallery is permanently deleted from the Services. You can ask us to delete the face data of a gallery earlier by writing to [email protected].
Before turning on AI Face Search, you must give the people in your photos (or their parents or guardians) any notice required by law and obtain any consent required by law, including written consent where required. You must not turn on AI Face Search for galleries that include people located in the State of Illinois, or where you cannot obtain the required consent.
8. Acceptable use
You agree not to use the Services to:
- upload, share or sell content that is illegal, infringes anyone's intellectual property, privacy or publicity rights, or that you do not have the right to share;
- upload or share sexual content involving minors, which we report to the National Center for Missing & Exploited Children and to law enforcement as required by law;
- upload or share pornographic content, content that promotes violence, terrorism, or discrimination on the basis of race, ethnicity, religion, gender, sexual orientation, disability or nationality;
- harass, threaten, defraud or mislead anyone, or impersonate any person or business;
- send spam or unsolicited messages;
- distribute malware, interfere with or disrupt the Services, probe or test their vulnerability without our permission, or bypass any security or usage limits;
- scrape, copy or resell the Services or access them by automated means other than through features we provide;
- use the Services as general-purpose file storage unrelated to your photography or creative business, or in a way that places an unreasonable load on our systems.
We may review content reported to us or detected by our systems. If we find that content or activity violates these Terms or the law, we may remove or disable access to it, limit features, or suspend or terminate the Account. Unless the law or safety reasons prevent it, we will tell you what we did and why, and you can reply to [email protected] if you believe we made a mistake.
To report illegal content, write to [email protected] with a link to the content and an explanation of why you believe it is illegal.
9. Copyright complaints (DMCA)
We respond to notices of alleged copyright infringement under the U.S. Digital Millennium Copyright Act (DMCA). If you believe content on the Services infringes your copyright, send a notice to our copyright agent that includes:
- your physical or electronic signature;
- identification of the copyrighted work you claim is infringed;
- identification of the infringing material and information reasonably sufficient for us to locate it, such as a link;
- your name, address, telephone number and email address;
- a statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent or the law;
- a statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.
Copyright Agent, Vigbo Development LLC, 800 SE 4th Ave, Suite 101, Hallandale Beach, FL 33009, USA. Email: [email protected].
If your content was removed and you believe this was a mistake or misidentification, you may send a counter-notice with the information required by 17 U.S.C. § 512(g)(3). We may restore the content 10 to 14 business days after receiving a valid counter-notice unless the complaining party informs us that it has filed a court action.
We terminate, in appropriate circumstances, the Accounts of users who repeatedly infringe the rights of others.
10. Third-party services
The Services may let you connect or use services provided by third parties, such as payment processors, cloud storage, print labs, domain providers, analytics or social networks. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them.
11. Our intellectual property
The Services, including our software, designs, templates, trademarks and logos, are owned by Vigbo or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for your business during the term of your Plan. You may not copy, modify, reverse engineer or create derivative works of the Services except as permitted by law.
If you send us feedback or suggestions, we may use them without any obligation to you.
12. Sanctions and export control
You represent that you are not located, organized or ordinarily resident in a country or territory subject to comprehensive U.S. sanctions, and that you are not on, or owned or controlled by anyone on, a U.S. government restricted parties list, including the Specially Designated Nationals List maintained by the U.S. Treasury Department's Office of Foreign Assets Control (OFAC). You agree to comply with all applicable export control and sanctions laws when using the Services. We may refuse, suspend or terminate the Services where necessary to comply with those laws.
13. Term, termination and your data
These Terms apply from the moment you accept them until your Account is closed.
You may stop using the Services and close your Account at any time by contacting us at [email protected] or using the tools in your Account. Cancelling a paid Plan is described in Section 4.3.
We may suspend or terminate your Account or access to the Services if you materially breach these Terms, if you fail to pay fees when due, if required by law, or if your use creates a risk or possible legal exposure for us, our users or third parties. Where reasonable, we will give you notice and an opportunity to fix the problem first.
Download Your Content before you close your Account. After your Account is closed or terminated, we may delete Your Content and Account data after 30 days, and we are not obligated to keep it longer, except as required by law. Deleted galleries are kept in Trash for 30 days, after which they are permanently deleted. Galleries are also deleted when the storage period you set for them expires.
Sections that by their nature should survive termination will survive, including Sections 5, 11, 13, 14, 15 and 17.
14. Disclaimers, limitation of liability and indemnification
14.1. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED «AS IS» AND «AS AVAILABLE», WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT YOUR CONTENT WILL NOT BE LOST.
14.2. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER VIGBO NOR ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS OR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL OR DATA, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (US $100).
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud, gross negligence or willful misconduct.
14.3. Indemnification
You will defend, indemnify and hold harmless Vigbo and its members, managers, employees and agents from any claims, damages, losses and expenses (including reasonable attorneys' fees) arising out of Your Content, your relationship with your Clients, your use of the Services in breach of these Terms, or your violation of any law or the rights of a third party.
15. Governing law and disputes
These Terms and any dispute arising out of or relating to them or to the Services are governed by the laws of the State of Florida and applicable U.S. federal law, without regard to conflict of laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Before filing a claim, you agree to contact us at [email protected] and try to resolve the dispute informally for at least 30 days.
Any lawsuit must be brought exclusively in the state or federal courts located in Broward County, Florida, and you and we consent to the personal jurisdiction of those courts. Either party may bring an individual claim in small claims court if it qualifies.
Class action and jury trial waiver. To the extent permitted by law, you and we agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective or representative proceeding, and you and we waive any right to a trial by jury.
If you are a consumer residing in the European Union, the United Kingdom or another country whose laws give you mandatory protections, nothing in this Section deprives you of those protections, including the right to bring proceedings in the courts of your country of residence.
16. Changes to these Terms
We may update these Terms from time to time. If a change is material, we will notify you by email or in your Account at least 30 days before it takes effect, unless the change is required by law or relates to new features, in which case it may take effect sooner. The updated Terms will be posted on this page with a new effective date. If you do not agree with the changes, you may cancel your Plan and stop using the Services before they take effect; if you continue to use the Services after that, you accept the updated Terms.
17. General
Entire agreement. These Terms, together with our Privacy Policy, Plan descriptions and any terms shown when you buy Additional Services, are the entire agreement between you and us about the Services.
Electronic communications. You agree to receive notices, invoices and other communications from us electronically, by email to the address of your Account or in your Account. You can opt out of marketing emails at any time; service and billing emails are part of the Services.
Assignment. You may not transfer these Terms without our written consent. We may transfer them in connection with a merger, acquisition, reorganization or sale of assets, or to an affiliate.
Severability and waiver. If any provision is found unenforceable, the rest of these Terms remains in effect. Our failure to enforce a provision is not a waiver.
Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, war, acts of government, internet or power failures, and failures of third-party providers.
Language. These Terms are written in English. If we provide a translation, the English version prevails in case of conflict, except where the law requires otherwise.
